Acceptance of Terms

By accessing or using Viacela (the "Service"), you agree to these Terms of Service ("Terms"). If you are using the Service on behalf of a school, organization, or minor, you represent that you have authority to accept these Terms for that party. If you do not agree, do not use the Service.

What Viacela Is

Viacela is an educational platform that helps learners explore purpose, pathways, skills, and opportunities through guided reflection, mentoring, resources, and AI-assisted insights. The Service is intended to support learning and career exploration. It is not a substitute for professional counseling, legal advice, medical advice, or guaranteed academic/employment outcomes.

Eligibility and Accounts

You must provide accurate account information and keep credentials secure. Access may be provisioned through school email, access codes, mentor campaigns, or other authorized methods.

Students, mentors, guardians, educators, and administrators may have different roles and permissions. You agree to use only the access level assigned to you and not to attempt to bypass authentication, authorization, or school/program controls.

Acceptable Use

You agree not to:

• Use the Service for unlawful, harmful, harassing, discriminatory, or abusive purposes.
• Upload or share content you do not have rights to share, or that violates another person's privacy or intellectual property.
• Attempt to reverse engineer, disrupt, scrape, overload, or gain unauthorized access to the Service or related systems.
• Misrepresent your identity, role, school affiliation, or authorization to access student data.
• Use AI-generated or platform outputs in a misleading way, or as the sole basis for high-stakes decisions without appropriate human judgment.

Student, Mentor, and School Responsibilities

Schools and program partners are responsible for obtaining any required consents and for determining which students, mentors, and staff may use the Service.

Mentors and staff must handle student information confidentially and only for authorized educational purposes. Students should use the Service respectfully and understand that reflections, progress, and shared documents may be visible to authorized mentors, educators, guardians, or administrators depending on configuration.

AI-Assisted Features

Some features use artificial intelligence to generate guidance, summaries, recommendations, or other content. AI outputs can be incomplete, inaccurate, or biased. You should review important outputs carefully and not rely on them as guarantees of outcomes. Do not enter confidential information into free-form prompts beyond what is needed for the educational feature you are using.

Content and Intellectual Property

Viacela and its licensors own the Service, branding, software, and related materials. Except for content you submit, these Terms do not transfer ownership of Viacela IP to you.

You retain rights to content you submit, and you grant Viacela a limited license to host, process, display, and use that content as needed to operate and improve the Service, including generating educational insights, subject to our Privacy Policy.

Privacy

Our collection and use of personal information is described in the Privacy Policy. By using the Service, you acknowledge that policy.

Third-Party Services

The Service may integrate with third-party tools (for example authentication providers, hosting, email delivery, analytics, or AI providers). Those services are governed by their own terms and privacy practices. Viacela is not responsible for third-party services outside our reasonable control.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIACELA DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that guidance will produce any specific educational, career, or financial result.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIACELA AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND PARTNERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR OPPORTUNITIES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID TO VIACELA FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100), IF YOU HAVE NOT PAID ANY AMOUNTS.

Suspension and Termination

We may suspend or terminate access if these Terms are violated, if required by a school or partner, or if needed to protect users or the Service. You may stop using the Service at any time. Provisions that by nature should survive termination (including IP, disclaimers, and limitations of liability) will survive.

Changes to These Terms

We may update these Terms from time to time. The effective date will change when updates are posted. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms, except where additional consent is required by law or contract.
